1. Introduction

1.1 Purpose and Scope

The Terms and Conditions ("Terms") govern all interactions with the LuminEvent web application accessible at https://luminevent.com/ ("Platform"). These Terms apply to authenticated attendees (individuals purchasing event tickets) and organizers (individuals or corporate entities creating and managing events). Guest access is not permitted, requiring all users to register with a verified email address to ensure security, traceability, and compliance.

The Terms outline rules for using features such as the Attendee Dashboard (personal information, upcoming events, ticket purchases, order summary), Order History Page (past orders, ticket management), Account Settings Page (profile, security, notifications), and Organizer Dashboard (gross revenue, payout balance, event metrics, orders, notifications). For example, attendees use the Platform to browse events, purchase tickets, and request refunds, while organizers create events, manage ticket sales, and process payouts, all subject to these Terms.

1.2 Acceptance of Terms

By creating an account, logging in, purchasing tickets, creating events, or otherwise using the Platform, you confirm your agreement to these Terms, the Refund Policy, and the Privacy Policy. You represent that you are at least 18 years old or have obtained verifiable parental or legal guardian consent if under 18, as required by the Nigerian Child’s Rights Act 2003 and general contract law.

Failure to meet this age requirement results in account suspension to ensure legal enforceability. These Terms apply to all interactions, including browsing events, submitting refund requests, updating profiles, or requesting payouts, ensuring a consistent legal framework across the Platform.

1.3 Currency and Language

All transactions, including ticket purchases and organizer payouts, are conducted exclusively in Nigerian Naira (NGN) to comply with Nigeria’s financial regulations, simplify currency handling, and avoid exchange rate complexities for users. All communications, including user interfaces, notifications (email), and support interactions, are in English to ensure accessibility and consistency for Nigeria’s multilingual population, avoiding translation errors and streamlining operations.

1.4 Modifications to Terms

LuminEvent reserves the right to modify these Terms at its sole discretion to address changes in legal requirements (e.g., NDPR updates), platform functionality (e.g., new dashboard features), or business practices (e.g., revised payout schedules). Modified Terms will be posted in the “Legal” section of https://luminevent.com/, with the effective date clearly displayed.

Users will be notified of significant changes (e.g., changes affecting user rights or refund processes) via email or a prominent banner on the Platform at least 7 days prior, unless immediate changes are required by law (e.g., urgent NDPR compliance). Continued use of the Platform after changes constitutes acceptance.

2. Definitions

2.1 Key Terms

  • Attendee: An individual who has registered with a verified email address and uses the Platform to purchase tickets, view upcoming events, manage orders, or update account settings via the Attendee Dashboard, Order History Page, or Account Settings Page.
  • Organizer: An individual or corporate entity registered with a verified email address and bank details, responsible for creating events, managing ticket sales, processing refunds, and requesting payouts via the Organizer Dashboard.
  • Event: A physical or virtual gathering listed on the Platform, such as concerts, seminars, or workshops, categorized as single (one-time with optional seating) or recurring (multiple dates, no seating).
  • Ticket: A digital pass with a QR code or printable document granting event entry, available as single-person tickets or group tickets (maximum 5 attendees for non-seated events, per Business Rule 2). Seats for single events are fixed upon payment (Business Rule 5).
  • Sensitive Actions: Actions requiring 2FA (password + 6-digit OTP via email, 10-minute expiry, 3 attempts/hour), including updating profile details, changing passwords, or requesting payouts.

3. User Accounts

3.1 Registration Requirements

  • Users must create an account by providing a valid email address, which must be verified via a confirmation link sent to the email within 24 hours of registration. No guest access is permitted, ensuring all actions are traceable to authenticated users.
  • For example, an attendee must verify their email before purchasing tickets, and an organizer must do so before creating events. This aligns with NDPR requirements for data accountability, reducing risks of fraud or unauthorized access.

3.2 Account Security

  • You are responsible for maintaining the confidentiality of your account credentials (username, password).
  • Sensitive actions, such as updating profile details, changing passwords, or requesting payouts, require 2FA, consisting of your password and a 6-digit one-time password (OTP) sent via email, valid for 10 minutes, with a maximum of 3 attempts per hour to prevent brute-force attacks.
  • You must notify LuminEvent immediately of any unauthorized access or suspected breach at support@luminevent.com. Failure to report unauthorized access may limit liability for resulting losses.

3.3 Account Types and Functionality

  • Attendees: Can access the Attendee Dashboard to view personal information (name, email, optional profile picture), upcoming events, ticket purchases, and order summaries; the Order History Page to manage past orders; and the Account Settings Page to update profile details, security settings, and notification preferences.
  • Organizers: Can access the Organizer Dashboard to monitor gross revenue, payout balance, key metrics (ticket sales, upcoming events, orders), recent orders, and notifications; manage events; and request payouts.

3.4 Account Suspension and Termination

  • LuminEvent reserves the right to suspend or terminate accounts for violations of these Terms, including but not limited to fraudulent activities (e.g., ticket scalping, submitting false refund requests), non-compliance with event policies (e.g., posting illegal content), or failure to verify account details (e.g., email or bank details for organizers).
  • Suspension may be temporary (e.g., pending investigation of suspected fraud), while termination is permanent for severe violations.
  • Users are notified via email with reasons for suspension/termination and an appeal process via support@luminevent.com. This ensures platform integrity and compliance with legal standards.

4. Attendee Responsibilities

4.1 Ticket Purchases

  • Attendees may purchase single-person tickets or group tickets through the Platform’s Events module.
  • Seats for single events are assigned at purchase and cannot be changed post-payment.
  • Payments are processed securely via Paystack in NGN, adhering to PCI DSS standards.
  • The fixed seating rule ensures clarity for single-event attendees, preventing logistical disputes.
  • Attendees must review event details and refund policies before purchase, as these are set by organizers.

4.2 Event Attendance

  • Attendees must present a valid ticket (digital QR code via the Platform or printed PDF) at the event venue for entry.
  • The QR code is scanned by organizers to verify authenticity, reducing fraud risks.
  • LuminEvent is not responsible for event cancellations, postponements, quality, or attendee experience, as these are controlled by organizers.

4.3 Refund Requests

  • Refund requests are managed by organizers, not LuminEvent, and are subject to the Refund Policy.
  • Attendees submit requests, specifying the order ID and reason.
  • LuminEvent facilitates the process but does not guarantee refunds, as decisions depend on the organizer’s policy.

5. Organizer Responsibilities

5.1 Event Creation and Compliance

  • Organizers must provide accurate and complete event details (e.g., name, date, time, location, ticket types, capacity, refund policy).
  • Single events may include seating arrangements, while recurring events do not.
  • Organizers must comply with Nigerian laws, including consumer protection (Consumer Protection Act 2018), public safety, and tax regulations.
  • They must also follow LuminEvent’s policies (e.g., prohibiting illegal or offensive content).

5.2 Payouts

  • Payouts for ticket sales (minus platform fees) are processed by the following Friday 12 PM WAT or the last day of the month.
  • Organizers must provide verified bank details via the Account Settings Page, verified via Paystack for anti-money laundering compliance.
  • Unverified accounts cannot request payouts, and sales are paused until verification is complete.
  • Example: An organizer requesting a ₦100,000 payout on Tuesday at 10 AM WAT will receive funds by the following Friday at 12 PM WAT, subject to a platform fee.

5.3 Refund Management

  • Organizers are solely responsible for reviewing and approving refund requests submitted by attendees.
  • They must respond within 7 business days based on their event’s refund policy (e.g., refunds allowed within 14 days of purchase).
  • LuminEvent notifies organizers of requests.

5.4 Liability and Indemnification

  • Organizers indemnify LuminEvent against claims, losses, or damages arising from event mismanagement, cancellations, postponements, or non-compliance with laws or policies.

6. Platform Usage

6.1 Permitted Use

  • The Platform may only be used for lawful purposes such as purchasing tickets, creating and managing events, viewing dashboards, or updating account settings.
  • Illegal use (e.g., hosting prohibited events) is strictly prohibited and may result in account termination.

6.2 Prohibited Conduct

  • (a) Using automated tools (e.g., bots, scrapers) to extract data or access the Platform.
  • (b) Engaging in fraudulent activities like ticket scalping, unauthorized reselling, or submitting false refund requests.
  • (c) Violating intellectual property rights (e.g., copying event images or code).
  • (d) Posting harmful content, including illegal or offensive descriptions.
  • (e) Attempting to bypass security (e.g., 2FA or rate limits). Violations may result in suspension, legal action, or being reported to authorities like EFCC.

7. Intellectual Property

7.1 Platform Ownership

  • LuminEvent owns all intellectual property rights in the Platform, including design, source code, logos, and branding under the Nigerian Copyright Act 2022.
  • Users may not reproduce, modify, or distribute these elements without written consent.

7.2 User-Generated Content

  • Organizers grant LuminEvent a non-exclusive, worldwide, royalty-free license to use, display, and promote event-related content.
  • Organizers retain ownership but allow LuminEvent to use the content to enhance visibility.

7.3 Content Restrictions

  • Users may not reproduce or distribute Platform or user content without written consent from LuminEvent or the content owner.
  • Violations may lead to account suspension and legal action.

8. Limitation of Liability

8.1 Platform Role as Facilitator

  • LuminEvent acts as a facilitator between attendees and organizers, not as an event operator.
  • We are not liable for event issues like cancellations or quality.

8.2 “As Is” Disclaimer

  • The Platform is provided “as is” without warranties of uninterrupted access or device compatibility.
  • Technical issues like downtime or browser incompatibilities may occur despite best efforts.

8.3 Force Majeure

  • LuminEvent is not liable for delays or failures due to events beyond its control (e.g., disasters, internet outages, or government bans).

9. Miscellaneous

10.1 Severability

  • If any provision of these Terms is found unenforceable by a court, the remaining provisions remain in effect.

10.2 Assignment

  • Users may not assign their rights or obligations under these Terms without written consent from LuminEvent.
  • LuminEvent may assign its rights to affiliates or successors and will notify users via email.
